Anaergia Inc. Faces Delay in Filing Annual Financial Statements
BURLINGTON, Ontario, March 29, 2024– Anaergia Inc. (Anaergia) announced today that there will be a delay in the filing of its annual information form for the year ended December 31, 2023, audited annual consolidated financial statements for the year ended December 31, 2023, and other related documents beyond the April 1, 2024, filing deadline.
Reasons for Delay
The delay in filing the required documents is due to the restructuring activities and transformation of the company during the 2023 year, causing delays in the financial reporting process. Anaergia is working with Deloitte LLP to complete the audit of the annual consolidated financial statements and expects to file the documents by April 15, 2024.
Consequences of Delay
The Ontario Securities Commission (OSC) is likely to impose a failure to file cease trade order (CTO) under National Policy 11-207. This order would prohibit trading of Anaergia’s securities in Canada until the required documents are filed.
Company’s Response
Anaergia will issue bi-weekly default status reports as per the alternative information guidelines under NP 12-203 until the filing requirements are met. The company confirms that there are no insolvency proceedings and is up to date with its other filing obligations.
