California Lawmaker Pushes for Transparency in Business Ownership
In an effort to crack down on opaque ownership structures that allow businesses to skirt state laws, California State Senator Maria Elana Durazo has introduced legislation that would require business owners and landlords to disclose their identities. The bill aims to increase transparency by requiring companies to list anyone who owns at least 25% of the company’s assets on its registration with the state, regardless of the size of the company.
Durazo argues that the lack of transparency in corporate ownership has allowed individuals to hide behind LLCs and similar corporations, making it difficult for government officials and law enforcement agencies to hold them accountable for violations of state laws. Supporters of the bill, including labor, housing, and environmental groups, believe that increased transparency will make it easier to track down and hold bad actors responsible.
However, the legislation faces opposition from business groups, including landlords, who argue that the costs of implementing the new disclosure requirement are too high. They also point to existing requirements for LLCs to share information with the government and the upcoming federal reporting requirement that will require businesses to report owners to the Financial Crimes Enforcement Network.
Despite the opposition, proponents of the bill believe that increased transparency in business ownership is essential to ensuring accountability and preventing abuse of the system. They point to cases where anonymous ownership structures have allowed individuals to evade legal responsibilities and cheat workers out of their pay. The bill has passed a key legislative committee and will now move to a second committee vote before reaching the Senate floor.
